Terms & Conditions

Effective 30 September 2026 · Version 1.0 · Jogajog is a product of Rabbit’s Hat LLC. These Terms incorporate our Return & Refund Policy, Privacy Policy and Delivery Policy.

1. Agreement and acceptance

These Terms and Conditions (the “Terms”) form a binding agreement between Rabbit’s Hat LLC (registered in Wyoming,
USA as “Rabbits Hat LLC”, Filing ID 2026-002052772; Bangladesh office: Jogajog, Chinishpur, Narsingdi Sadar, Narsingdi 1602,
Trade Licence No. CUP0414) (“Company,” “we,” “us”) and the organization that registers for or uses Jogajog (the “Customer,”
“you”). By creating an account, signing an order form, ticking the acceptance box at checkout, or using the Service, you accept
these Terms on behalf of your organization and represent that you have authority to do so. Individuals who access a directory
as members of a Customer’s organization (“Members”) are bound by the Acceptable Use provisions and the Privacy Policy.

2. Definitions

  • “Service” — the Jogajog software-as-a-service offering, including the shared application, branded progressive web
applications (“Branded PWA”), dedicated white-label mobile applications (“White-Label Apps”), administrative consoles, and related APIs and documentation.
  • “Customer Data” — all data submitted to the Service by or on behalf of the Customer, including Member personal data, organizational structure, and content of communications.
  • “Organizational Unit” or “OU” — any grouping the Customer defines within its directory (e.g., branch, committee, region, batch, class).
  • “Subscription” — the Customer’s plan comprising a deployment tier, member band, activated modules, metered communication usage, and any white-label fees, as described in the Order or the published pricing page.
  • “Module” — an optional, separately billed feature package that may be activated for a Customer’s tenant.

3. The Service; tiers

The Service is a multi-tenant organization directory and communication platform. The Customer selects one of three deployment
tiers: (a) Shared Application, (b) Branded PWA, or (c) White-Label App. Tier-specific terms for White-Label Apps appear in
Section 9. We may improve, modify, or add to the Service at any time, provided the changes do not materially reduce the core
functionality of the Customer’s active Subscription during a paid term.

4. Accounts and administration

  • The Customer designates one or more administrators who control the tenant, including Member data, OU structure, visibility rules, and communications.
  • The Customer is responsible for the acts and omissions of its administrators and Members, for maintaining the confidentiality of credentials, and for promptly notifying us of any suspected unauthorized access.
  • Accounts must be registered by persons at least 18 years of age. The Service is offered to organizations, not consumers.

5. Customer Data; roles and responsibilities

  • As between the parties, the Customer owns all Customer Data. We claim no ownership of it.
  • For personal data of Members, the Customer is the data controller (it decides who is listed and what is visible) and the Company is the data processor, processing Customer Data only to provide the Service, as described in the Privacy Policy.
  • The Customer warrants that it has a lawful basis — including any notices to or consents from its Members required by applicable law — for uploading Member personal data to the Service and for the visibility settings it applies.
  • We provide the tools (visibility rules, member self-claim, export, deletion) for the Customer to meet its obligations; using them correctly is the Customer’s responsibility.

6. Subscriptions, fees, prices and taxes

  • Subscription fees follow the hybrid pricing model: base tier fee + member band + activated Modules + white-label fees, as published on the pricing page or as stated in an Order. All prices for Bangladesh customers are quoted, displayed and charged in Bangladeshi Taka (BDT). International customers are billed in USD.
  • SMS and WhatsApp messaging are not part of the Subscription: they are available solely through a separate, optional, prepaid Messaging Wallet topped up by the Customer. Credits are consumed per accepted message, are never billed in arrears, and a zero balance can never produce a negative balance or a surprise charge — announcements simply continue via in-app and push channels.
  • Subscription fees are billed in advance. Invoices are due within 14 days. Late amounts may accrue interest at the lesser of 1.5% per month or the maximum lawful rate, and persistent non-payment may lead to suspension under Section 12.
  • Payment methods. Online payments are processed by our licensed payment gateway partner, Paystation (bKash, Nagad, Rocket, Upay, local and international cards). We never see or store card or wallet credentials. Customers may also pay by bKash or bank transfer against an invoice. The statement descriptor for online payments is “JOGAJOG”.
  • Checkout acceptance. Before any online payment the Customer is shown these Terms, the Return & Refund Policy and the Privacy Policy and must confirm acceptance by ticking the box; we record the version accepted and the time.
  • Fees are exclusive of taxes (including VAT); the Customer is responsible for applicable taxes other than taxes on our income.
  • We may revise pricing with at least 30 days’ written notice; revisions take effect at the Customer’s next renewal, never mid-term.
  • Refunds and cancellations are governed by the Return & Refund Policy; service activation timelines by the Delivery Policy.

7. Acceptable use

The Customer and its Members must not:

  • use the Service to send spam, unlawful, deceptive, threatening, or harassing communications, or communications that violate telecommunications regulations applicable to the recipient (including SMS sender-ID and opt-out rules);
  • upload data they have no right to process, or scrape, harvest, or bulk-export directory data of persons who have not made it visible to them;
  • probe, disable, or circumvent security or tenant-isolation controls, or access another tenant’s data;
  • reverse-engineer, resell, sublicense, or white-label the Service except as expressly permitted by their tier;
  • use the Service to compete with the Service or to build a competing product.

We may remove content or suspend accounts that violate this section, with notice where practicable.

8. Communications features

  • SMS, push, WhatsApp and email broadcast features are provided through third-party carriers and aggregators whose delivery we do not control; delivery is not guaranteed and metered charges apply to accepted messages regardless of final delivery, except where our systems are at fault.
  • The Customer is the sender of record for its broadcasts and is responsible for their content and legality. Opt-out requests recorded by the Service are binding on the Customer.

9. White-Label App terms

  • Ownership: each White-Label App is published from a Google Play (and, when offered, Apple) developer account owned by the Customer, registered in the Customer’s own name, at the Customer’s expense (including store registration fees).
  • Management: the Customer grants the Company administrative access to that developer account for the sole purposes of building, publishing, updating, and maintaining the app. We will not use the account for any other purpose.
  • Updates: the Customer authorizes us to publish scheduled updates and emergency security patches without prior approval; we will provide release notes. Store policy compliance changes are mandatory and included in the management fee.
  • Store decisions: app store review outcomes, removals, and policy enforcement are decisions of the store operator; we will use commercially reasonable efforts to resolve them but do not guarantee listing or continued availability. The Branded PWA tier remains available as a fallback at the applicable price.
  • Exit: on termination, we relinquish administrative access. The developer account, listing, and signing configuration remain the Customer’s; we will reasonably cooperate in transition for up to 30 days.
  • Credential-handoff alternative: where the Customer declines to grant administrative access, publishing is performed under a separately priced assisted-publishing arrangement, and the Customer assumes responsibility for all account actions we cannot perform.

10. Intellectual property

  • We own the Service, its software, and all improvements. The Customer receives a non-exclusive, non-transferable right to use the Service for its internal organizational purposes during the Subscription.
  • The Customer owns its trademarks, logos, and brand assets and grants us a license to use them solely to provide branding, store listings, and White-Label Apps.
  • Feedback may be used by us without obligation, provided it is never attributed to the Customer without consent.

11. Confidentiality

Each party will protect the other’s non-public information with at least reasonable care, use it only to perform under these Terms, and disclose it only to personnel and contractors bound by equivalent obligations, or where required by law with prompt notice where lawful.

12. Suspension, termination, and data return

  • Either party may terminate for material breach unremedied 30 days after written notice, or immediately for insolvency.
  • We may suspend (not terminate) the Service for overdue amounts more than 30 days past due, for security emergencies, or for material Acceptable Use violations — with notice and, except in emergencies, an opportunity to cure.
  • The Customer may terminate at the end of any billing term without cause. Refunds are governed by the Return & Refund Policy.
  • Following termination, Customer Data is exportable and is then deleted on the schedule in the Privacy Policy (retention section). Suspension never deletes data.

13. Warranties and disclaimers

We warrant that the Service will perform materially as described in its documentation and that we will provide it with reasonable skill and care. EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED “AS IS,” AND WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.

14. Limitation of liability

  • Cap: EXCEPT FOR EXCLUDED CLAIMS (DEFINED BELOW), EACH PARTY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE IS LIMITED TO THE FEES PAID OR PAYABLE BY THE CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE FIRST EVENT GIVING RISE TO LIABILITY.
  • No indirect damages: NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA (EXCEPT DATA-RESTORATION COSTS CAUSED BY OUR BREACH OF THE RETENTION COMMITMENTS IN THE PRIVACY POLICY), EVEN IF ADVISED OF THE POSSIBILITY.
  • Excluded Claims (cap does not apply): (a) a party’s indemnification obligations under Section 15; (b) the Customer’s payment obligations; (c) either party’s gross negligence, willful misconduct, or fraud; (d) our breach of the security section of the Privacy Policy resulting in unauthorized cross-tenant disclosure, for which our aggregate liability is instead capped at two (2) times the 12-month fee amount; (e) liability that cannot be limited under applicable law.
  • The limitations apply regardless of the theory of liability (contract, tort, statute) and survive termination.

15. Indemnification

  • By the Company: we will defend the Customer against third-party claims alleging that the Service, as provided by us and used as permitted, infringes a third party’s intellectual-property rights, and will pay resulting damages finally awarded or agreed in settlement. If the Service is enjoined, we may procure the right to continue it, modify it to be non-infringing, or terminate the affected Subscription with a pro-rata refund. This does not apply to claims arising from Customer Data, Customer trademarks, combinations with third-party products, or use in violation of the Terms.
  • By the Customer: the Customer will defend the Company against third-party claims arising from (a) Customer Data, including claims by Members regarding the lawfulness of their inclusion, the accuracy of their data, or the Customer’s visibility settings; (b) the content or legality of the Customer’s communications and broadcasts; (c) the Customer’s trademarks and brand assets used in Branded PWAs or White-Label Apps; or (d) the Customer’s violation of law or the Acceptable Use provisions — and will pay resulting damages finally awarded or agreed in settlement.
  • Procedure: the indemnified party must give prompt written notice, grant sole control of defense and settlement to the indemnifying party (no settlement imposing obligations on the indemnified party without its consent), and provide reasonable cooperation at the indemnifying party’s expense.

16. Force majeure

Neither party is liable for failure or delay caused by events beyond its reasonable control — including natural disasters, war, terrorism, civil unrest, labor disputes, governmental action, internet or telecommunications backbone failures, carrier, aggregator or payment-gateway outages, app-store policy actions, and utility failures — provided the affected party uses reasonable efforts to mitigate and resumes performance promptly. Payment obligations for services already delivered are not excused. If a force majeure event continues for more than 60 days, either party may terminate the affected Subscription with a pro-rata refund of prepaid, unused fees.

17. Service levels and support

  • Target availability: 99.5% monthly uptime, excluding scheduled maintenance announced at least 48 hours in advance on status.jogajog.app. Service credits are described in the Return & Refund Policy.
  • Support: Sunday–Thursday, 9:00–18:00 Bangladesh Standard Time via support@jogajog.app or +880 1342-292469.

18. Changes to these Terms

We may update these Terms by posting a revised version and notifying administrators at least 30 days before material changes take effect. Continued use after the effective date constitutes acceptance; if the Customer objects to a material change, it may terminate at the change’s effective date and receive a pro-rata refund of prepaid, unused fees.

19. Governing law and disputes

These Terms are governed by the laws of the People’s Republic of Bangladesh. The parties will first attempt good-faith resolution for 30 days. Unresolved disputes will be finally settled by arbitration in Dhaka under the Arbitration Act 2001; for Customers subscribing in USD, either party may instead elect arbitration under the SIAC Rules in Singapore, in English. Nothing prevents either party from seeking injunctive relief for IP or confidentiality breaches in any competent court.

20. General

Entire agreement (with the Order, Return & Refund Policy, Privacy Policy and Delivery Policy); no assignment without consent except to a successor in interest; notices by email to registered addresses; severability; no waiver by inaction; English text controls over any translation unless mandatory local law provides otherwise.
